Terms and conditions
Conditions applicable to n8de.me services
Art. 1Service provider identification
n8de.me is the trade name of:
Kevin Forma, independent entrepreneur (sole proprietorship)
Address: 27 avenue Pénélope, Bte 7, 1190 Brussels, Belgium
Email: kevin@n8de.me
BCE: BE 0697.861.253
VAT regime: Small Business Exemption — Article 56bis of the Belgian VAT Code
n8de.me operates under the Belgian small business VAT exemption regime. No VAT is charged. The client therefore has no VAT to deduct on invoiced services.
Art. 2Scope and applicability
These Terms and Conditions of Sale ("Terms") govern any commercial relationship between n8de.me and its professional client ("Client") for service deliveries related to business process automation, including:
- Automation consulting and process audits
- Design and development of custom workflows (notably via the n8n platform)
- Integration of third-party tools (APIs, SaaS, CRM, communication platforms)
- Training and support on automation usage
- Maintenance and technical support on delivered solutions
Any order or subscription implies full acceptance of these Terms.
Art. 3Offers and pricing
n8de.me offers two standard packages (Essentiel and Business), each consisting of a setup fee followed by a monthly subscription, and a Premium package priced by custom quote. The amounts below are “from” prices: the exact scope and final price are confirmed in the quote. Each standard package is available under two payment plans, at the Client's choice, for a strictly identical service:
| Package | Spread plan | Upfront plan | Estimated lead time |
|---|---|---|---|
| Essentiel | from €297 + €99/month then €74/month from month 13 | from €790 + €45/month | 5 business days |
| Business | from €697 + €149/month then €112/month from month 13 | from €1,390 + €69/month | 7 business days |
| Premium | On request: scope, setup fee and subscription defined in a custom quote (Article 4.1) | Defined in the quote | |
3.1. What the subscription covers
The monthly subscription covers hosting and operation of the workflows, their monitoring, the correction of malfunctions (including those caused by changes to connected third-party tools), and the support described in Article 8.
During the first twelve months, the subscription also includes unlimited adjustments and modifications to the delivered workflows. From the thirteenth month, the service continues in maintenance mode: monitoring, corrections, and two evolutions per year included.
The payment plan is chosen at subscription and cannot be changed during the initial period. The twelve-month term set out in Article 13.2 applies identically to both plans.
3.2. Price reduction from the thirteenth month
At the end of the initial twelve-month period, the subscription amount of the spread plan is reduced by 25%, as set out in the table above. This reduction reflects the switch to maintenance mode described in Article 3.1. It applies automatically, with no action required from the Client. It does not apply to the upfront plan, whose subscription already covers maintenance only.
The reduction is suspended for the duration of any service suspension for non-payment (Article 13.6).
3.3. Referrals
Any Client may refer n8de.me to a third party. Once that third party subscribes to a package and has paid three monthly instalments:
- the referring Client receives one free month, credited against their next invoice;
- the referred Client receives a 30% reduction on the setup fee, applied at subscription.
Referral benefits cannot be combined with another promotional offer on the same subscription. There is no limit to the number of referrals per Client.
3.4. VAT and price changes
Prices are stated in euros, net of VAT. As n8de.me operates under the Belgian small business VAT exemption regime (Article 56bis of the Belgian VAT Code), no VAT is added or applied to invoices issued. The stated price is therefore the final price payable by the Client.
Any service outside the standard packages is subject to a custom quote. Prices may be changed for the future subject to written notice of thirty days; contracts within their initial period are not affected by such a change.
Art. 4Order process
4.1. Quote
Any service starts with the issuance of a detailed quote valid for 30 days from its issuance date. The quote specifies the nature of services, estimated lead time, price, and payment terms.
4.2. Acceptance
Quote acceptance is made in writing (email or electronic signature). This acceptance triggers the immediate application of these Terms.
4.3. Setup payment and start of the subscription
The setup fee is payable in full at the time of order and is a condition for work to begin.
The monthly subscription starts from the effective go-live of the workflows, not from the order date. The initial twelve-month period defined in Article 13.2 begins on that same date.
For custom-quoted services outside the standard packages, a 50% deposit is required at the time of order, with the balance due on delivery.
Art. 5Lead times
Estimated lead times start from receipt of the complete client brief, necessary access to third-party tools, and payment of the deposit (if applicable). Any delay in providing these elements by the Client results in an equivalent postponement of the lead time.
The communicated lead times constitute good-faith estimates and bind n8de.me only to a best-efforts obligation, not to a results obligation regarding timing. No penalty for delay may be claimed by the Client, except by prior written agreement expressly setting a firm contractual deadline.
n8de.me undertakes to inform the Client, within a reasonable timeframe, of any foreseeable delay and the new estimated delivery date.
Art. 6Payment terms
- Due date: 30 days from invoice date (unless otherwise agreed in writing)
- Payment method: bank transfer or Stripe payment link
- Currency: euros (EUR)
- VAT mention: no VAT charged (small business exemption Art. 56bis Belgian VAT Code)
6.1. Late payment
In accordance with the Belgian law of August 2, 2002 on combating late payment in commercial transactions, in the event of payment default at maturity and without prior notice, the Client shall pay:
- Default interest at the legal rate (ECB + 8 percentage points)
- A flat-rate compensation of €40 for recovery costs
- Reimbursement of reasonable recovery costs incurred
6.2. Refund policy
In accordance with industry standards and given the custom nature of the services, n8de.me applies the following refund policy:
- Before technical kick-off: full 100% refund if the Client makes a written request (by email to kevin@n8de.me) before the actual start of workflow design.
- After technical kick-off, before delivery: partial refund proportional to the work not yet performed, assessed in good faith by n8de.me.
- After delivery and acceptance: no refund is due, as delivered workflows are custom-made and personalised services (Article VI.53, 12° of the Belgian Code of Economic Law — exception to the right of withdrawal for fully performed services and goods made to the Client's specifications).
- Premium plan: a 7-calendar-day reflection period from the date of payment of the setup fee allows for a full refund request of that fee, provided that no technical work has begun.
Any refund request must be sent by email to kevin@n8de.me mentioning the Stripe payment reference and the reason. n8de.me undertakes to respond within 5 business days and to process any refund within 14 business days via the original payment method.
Art. 7Client obligations
The Client undertakes to:
- Provide a clear and complete brief, in French or English
- Make available the necessary access to relevant tools and platforms
- Designate a single point of contact for project coordination
- Respond to requests within reasonable timeframes
- Pay invoices on due date
- Guarantee the legality of data and processes entrusted
Art. 8n8de.me obligations
n8de.me undertakes to:
- Perform services with diligence and professionalism
- Respect agreed lead times, subject to Client obligations
- Respond within 48 business hours of a written report of a blocking malfunction affecting a workflow in production
- Monitor and maintain the continued operation of workflows covered by an active subscription
- Maintain confidentiality of transmitted information
- Document delivered automations
- Respect GDPR in data processing
Art. 9Warranty and liability limitation
9.1. Warranty
n8de.me warrants the proper functioning of delivered automations for 30 days from the go-live date. Any anomaly reported during this period is corrected at no additional cost.
Beyond that period, the correction of malfunctions remains covered by the monthly subscription for as long as it is active, under the conditions of Articles 3.1 and 8.
9.2. Limitation
n8de.me's liability is strictly limited to the amount of services billed to the Client in the last 12 months. n8de.me cannot be held liable for:
- Indirect or immaterial damages (loss of revenue, data loss)
- Failures of third-party tools used (n8n, Anthropic, Twilio, Google, etc.)
- Non-compliant use by the Client
- Force majeure events
Art. 10Intellectual property
The workflows, configurations, and documentation delivered by n8de.me become the property of the Client after full payment. However, n8de.me retains the right to reuse its methods, know-how, generic templates, and internal libraries for other clients.
Third-party tools (n8n, APIs, SaaS) remain subject to their own license conditions. The Client is responsible for compliance with these licenses.
Art. 11Confidentiality
Each party undertakes to keep strictly confidential all information exchanged in the context of the service, during the contract duration and for 3 years after its termination.
Art. 12Personal data
Personal data processing is governed by our Privacy Policy, in compliance with GDPR.
When n8de.me acts as a data processor under GDPR, a Data Processing Agreement (DPA) is established at the Client's request.
Art. 13Term, renewal and termination
13.1. One-off services
Once the service has been delivered and accepted, the contract ends. Any maintenance is the subject of a separate contract.
13.2. Subscription term
The Essentiel, Business and Premium packages are subscribed for an initial term of twelve (12) months, running from the effective go-live of the workflows.
This term is the counterpart of the rate granted. On the spread plan, the setup fee does not cover the actual cost of design and deployment, which is amortised over the subscription period. On the upfront plan, it is the monthly subscription that is granted at a reduced rate, the setup being settled at its real price.
13.3. Renewal
At the end of the initial term, the contract continues for an indefinite term, at the rate then in force, reduced where applicable in accordance with Article 3.2. The Client may then terminate at any time, in writing (email to kevin@n8de.me), subject to one (1) month's notice.
n8de.me shall inform the Client in writing of the end of the initial term and, where applicable, of the application of the price reduction, no later than thirty days before that date.
13.4. Early termination by the Client
The Client may terminate before the end of the initial term, in writing, subject to a flat indemnity equal to 50% of the monthly instalments remaining until that term.
This indemnity is due on the effective date of termination. The setup fee already paid is non-refundable.
13.5. Termination without indemnity
By way of exception to Article 13.4, no indemnity is owed by the Client where:
- n8de.me fails to meet the 48 business hour response time set out in Article 8 and does not remedy this within five business days of a written formal notice;
- the service is unavailable for more than seven consecutive days due to n8de.me;
- the Client ceases trading, is declared bankrupt, enters judicial reorganisation or dies, upon presentation of supporting evidence.
13.6. Non-payment and suspension
Where a monthly instalment is not paid when due:
- at 15 days: written reminder;
- at 30 days: formal notice and suspension of the service, after prior information of the Client;
- at 60 days: n8de.me may terminate the contract as of right, without prejudice to sums due and to the indemnity set out in Article 13.4.
Suspension does not release the Client from paying sums due. The Client's data and workflows are retained throughout the suspension.
13.7. Deliverables at the end of the contract
Whatever the cause of the end of the contract, the Client shall receive, upon written request made within 30 days of it:
- a full export of their n8n workflows, in a reusable format;
- all data belonging to them;
- the associated technical documentation.
In accordance with Article 10, these items are the property of the Client once paid for in full: the Client may use them freely, including on another infrastructure. After the 30-day period, n8de.me will permanently delete them.
13.8. Termination for breach
In the event of a serious breach by either party (breach of confidentiality, unlawful use of the service, etc.), the contract may be terminated as of right after a formal notice has remained without effect for 15 days.
Art. 14Complaint
Any complaint relating to a service or invoice must be notified in writing to kevin@n8de.me within 8 days from delivery or invoice receipt, otherwise it will be deemed accepted.
Art. 15Force majeure
Neither party shall be liable for failure to perform its obligations in case of force majeure (within the meaning of Belgian case law): natural disasters, major third-party failures, social conflicts, government acts, etc.
Art. 16Applicable law and jurisdiction
These Terms are governed by Belgian law. Any dispute falls under the exclusive jurisdiction of the courts of the judicial district of Brussels, after prior attempt at amicable resolution.
Art. 17Modification of Terms
n8de.me reserves the right to modify these Terms at any time. The applicable Terms are those in effect at the time of order. Any modification will be notified to existing clients by email with a 30-day notice period.
