VAT regime: Small Business Exemption — Article 56bis of the Belgian VAT Code
n8de.me operates under the Belgian small business VAT exemption regime. No VAT is charged. The client therefore has no VAT to deduct on invoiced services.
Art. 2Scope and applicability
These Terms and Conditions of Sale ("Terms") govern any commercial relationship between n8de.me and its professional client ("Client") for service deliveries related to business process automation, including:
- Automation consulting and process audits
- Design and development of custom workflows (notably via the n8n platform)
- Integration of third-party tools (APIs, SaaS, CRM, communication platforms)
- Training and support on automation usage
- Maintenance and technical support on delivered solutions
- Hosting and operation of the Jarvis assistant (SaaS offering)
Any order or subscription implies full acceptance of these Terms.
Art. 3Offerings and pricing
n8de.me offers several standard plans:

Prices are in euros, net of VAT. As n8de.me operates under the Belgian small business VAT exemption regime (Article 56bis of the Belgian VAT Code), no VAT is added or applied on issued invoices. The price shown is therefore the final amount due by the Client.
Any service outside the standard offerings is subject to a custom quote. Pricing and lead times for plans may be modified upon prior written notice.
Art. 4Order process
4.1. Quote
Any service starts with the issuance of a detailed quote valid for 30 days from its issuance date. The quote specifies the nature of services, estimated lead time, price, and payment terms.
4.2. Acceptance
Quote acceptance is made in writing (email or electronic signature). This acceptance triggers the immediate application of these Terms.
4.3. Deposit
For services exceeding €500, a 50% deposit is required upon order. The balance is due upon delivery.
Art. 5Lead times
Estimated lead times start from receipt of the complete client brief, necessary access to third-party tools, and payment of the deposit (if applicable). Any delay in providing these elements by the Client results in an equivalent postponement of the lead time.
The communicated lead times constitute good-faith estimates and bind n8de.me only to a best-efforts obligation, not to a results obligation regarding timing. No penalty for delay may be claimed by the Client, except by prior written agreement expressly setting a firm contractual deadline.
n8de.me undertakes to inform the Client, within a reasonable timeframe, of any foreseeable delay and the new estimated delivery date.
Art. 6Payment terms
- Due date: 30 days from invoice date (unless otherwise agreed in writing)
- Payment method: bank transfer or Stripe payment link
- Currency: euros (EUR)
- VAT mention: no VAT charged (small business exemption Art. 56bis Belgian VAT Code)
6.1. Late payment
In accordance with the Belgian law of August 2, 2002 on combating late payment in commercial transactions, in the event of payment default at maturity and without prior notice, the Client shall pay:
- Default interest at the legal rate (ECB + 8 percentage points)
- A flat-rate compensation of €40 for recovery costs
- Reimbursement of reasonable recovery costs incurred
6.2. Refund policy
In accordance with industry standards and given the custom nature of the services, n8de.me applies the following refund policy:
- Before technical kick-off: full 100% refund if the Client makes a written request (by email to hello@n8de.me) before the actual start of workflow design.
- After technical kick-off, before delivery: partial refund proportional to the work not yet performed, assessed in good faith by n8de.me.
- After delivery and acceptance: no refund is due, as delivered workflows are custom-made and personalised services (Article VI.53, 12° of the Belgian Code of Economic Law — exception to the right of withdrawal for fully performed services and goods made to the Client's specifications).
- Premium plan (€4,997): a 7-calendar-day reflection period from the date of payment allows for a full refund request, provided that no technical work has begun.
Any refund request must be sent by email to hello@n8de.me mentioning the Stripe payment reference and the reason. n8de.me undertakes to respond within 5 business days and to process any refund within 14 business days via the original payment method.
Art. 7Client obligations
The Client undertakes to:
- Provide a clear and complete brief, in French or English
- Make available the necessary access to relevant tools and platforms
- Designate a single point of contact for project coordination
- Respond to requests within reasonable timeframes
- Pay invoices on due date
- Guarantee the legality of data and processes entrusted
Art. 8n8de.me obligations
n8de.me undertakes to:
- Perform services with diligence and professionalism
- Respect agreed lead times, subject to Client obligations
- Maintain confidentiality of transmitted information
- Document delivered automations
- Respect GDPR in data processing
Art. 9Warranty and liability limitation
9.1. Warranty
n8de.me warrants the proper functioning of delivered automations for 30 days from delivery date. Any anomaly reported during this period will be corrected at no additional cost.
9.2. Limitation
n8de.me's liability is strictly limited to the amount of services billed to the Client in the last 12 months. n8de.me cannot be held liable for:
- Indirect or immaterial damages (loss of revenue, data loss)
- Failures of third-party tools used (n8n, Anthropic, Twilio, Google, etc.)
- Non-compliant use by the Client
- Force majeure events
Art. 10Intellectual property
The workflows, configurations, and documentation delivered by n8de.me become the property of the Client after full payment. However, n8de.me retains the right to reuse its methods, know-how, generic templates, and internal libraries for other clients.
Third-party tools (n8n, APIs, SaaS) remain subject to their own license conditions. The Client is responsible for compliance with these licenses.
Art. 11Confidentiality
Each party undertakes to keep strictly confidential all information exchanged in the context of the service, during the contract duration and for 3 years after its termination.
Art. 12Personal data
Personal data processing is governed by our Privacy Policy, in compliance with GDPR.
When n8de.me acts as a data processor under GDPR, a Data Processing Agreement (DPA) is established at the Client's request.
Art. 13Termination
13.1. One-off services
Once the service is delivered and accepted, the contract ends. Any subsequent maintenance is subject to a separate contract.
13.2. SaaS subscriptions (Jarvis)
Monthly subscriptions (Jarvis Starter/Business/Premium) are without commitment. The Client may terminate at any time, effective at the end of the current month. The Client retains access to the service until the end of the paid period and receives an export of their data (documentary Bible) within 30 days.
13.3. Termination for breach
In case of serious breach by either party (payment default exceeding 60 days, breach of confidentiality, etc.), the contract may be terminated as of right after a formal notice that remains without effect for 15 days.
Art. 14Complaint
Any complaint relating to a service or invoice must be notified in writing to hello@n8de.me within 8 days from delivery or invoice receipt, otherwise it will be deemed accepted.
Art. 15Force majeure
Neither party shall be liable for failure to perform its obligations in case of force majeure (within the meaning of Belgian case law): natural disasters, major third-party failures, social conflicts, government acts, etc.
Art. 16Applicable law and jurisdiction
These Terms are governed by Belgian law. Any dispute falls under the exclusive jurisdiction of the courts of the judicial district of Brussels, after prior attempt at amicable resolution.
Art. 17Modification of Terms
n8de.me reserves the right to modify these Terms at any time. The applicable Terms are those in effect at the time of order. Any modification will be notified to existing clients by email with a 30-day notice period.
